Terms of Service

1. Acceptance of Terms

Welcome to ScoutTrack.com. ScoutTrack.com provides its service to you, subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current version of the TOS at any time at: http://www.scouttrack.com/terms.html.

ScoutTrack.com is a service that is licensed and not sold. ScoutTrack.com is protected by copyright laws and treaties, as well as laws and treaties related to other forms of intellectual property. Your use of ScoutTrack.com is subject to these rights and to all the terms and conditions of this TOS.

2. License Grant

ScoutTrack.com is licensed for one (1) year of service unless otherwise agreed to by your Cub Scout Pack or Boy Scout Troop and ScoutTrack.com. You may not assign your rights and obligations under this TOS, or redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer your rights to use ScoutTrack.com.

The license is granted to the Pack or Troop and not to the individual person who pays the license fee — regardless of whether or not the person is reimbursed by the Pack or Troop.

3. Restrictions on Use and Access

Your are responsible for obtaining access to ScoutTrack.com via the internet. That access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees. In addition, you must provide and are responsible for all equipment necessary to access ScoutTrack.com.

You may not decompile, "reverse-engineer", disassemble or otherwise attempt to derive the source code for ScoutTrack.com.

You may not modify ScoutTrack.com or create any derivative work that include but are not limited to translations.

4. Modifications to Service

ScoutTrack.com reserves the right at any time and from time to time to modify the Service (or any part thereof) with or without notice. You agree that ScoutTrack.com shall not be liable to you or to any third party for any modification of the Service.

5. Termination

You agree that ScoutTrack.com, in its sole discretion, may terminate your password, account or use of ScoutTrack.com for any reason, including, without limitation, for lack of use or if ScoutTrack.com believes you have violated or acted inconsistently with the letter or spirit of the TOS. ScoutTrack.com may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, provided currently licensed users are given fourteen (14) days notice and unexpired license fees are refunded to the person who paid the most recent licensing fee for the Pack/Troop in the amount proportionate to the remaining unused license time.

6. Disclaimer of Warranties

You expressely understand and agree that:

  1. Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ScoutTrack.com expressly disclaims all warranties of any kind, whether express or implied including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
  2. ScoutTrack.com makes no warranty that (i) the service will meet your particular requirements, (ii) the Service will be uninterrupted, (iii) the results that may be obtained from the use of the Service will be accurate or reliable, and (iv) any errors in the Software will be corrected.
  3. No advice or information, whether oral or written, obtained by you from ScoutTrack.com or through or from the Service shall create any warranty not expressly stated in the TOS.

7. Limitation of Liability

You expressly understand and agree that ScoutTrack.com shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, goodwill, use, data or other intangible loses (even if ScoutTrack.com has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Service; (ii) unauthorized access to or alteration of your transmissions or data, (iii) statements or conduct of any third party on the Service, or (iv) any other matter relating to the service.

8. Limitation of Remedies and Damages

Your remedy for a breach of these TOS is the correction of ScoutTrack.com. If ScoutTrack.com is unable to provide corrections to the service, hour sole alternate remedy shall be a refund of the remaining licensed time of service for ScoutTrack.com.

You agree to indemnify and hold ScoutTrack.com harmless from all claims, judgements, liabilities, expenses, or costs arising from your breach of this TOS and/or acts or omissions.

9. Governing Law, Jurisdiction and Costs

This TOS is governed by the laws of Illinois, without regard to Illinois's conflict or choice of law provisions.

10. Severability

If any provision of this TOS shall be held to be invalid or unenforceable, the remainder of this TOS shall remain in full force and effect. To the extent any express or implied restrictions are not permitted by applicable laws, these express or implied restrictions shall remain in force and effect to the maximum extent permitted by such applicable laws.
